Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Continuum Media Works LLC, doing business as Psynthetic ("Psynthetic," "Company," "we," "us," or "our"), governing your access to and use of the Psynthetic platform, website at psynthetic.ai, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

Psynthetic is a brand intelligence platform that generates optimized prompts for AI video and image generation tools. The Service includes AI-powered prompt generation optimized for specific platforms (including but not limited to Google Veo, Kling, Sora, Runway, Midjourney, and others); brand profile creation and management with database-level isolation; platform recommendation scoring; prompt refinement and feedback collection; and credit-based usage metering.

Psynthetic generates text prompts intended for use with third-party AI generation platforms. We do not generate images or videos directly. The quality, accuracy, and suitability of outputs produced by third-party platforms using our prompts are not within our control and are subject to those platforms' own terms and capabilities.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration; maintain the security and confidentiality of your account credentials; notify us immediately of any unauthorized use of your account; and accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used in an unauthorized or fraudulent manner.

4. Subscription Plans, Credits, and Payment

4.1 Subscription Tiers

The Service offers subscription plans with varying levels of access, brand profile limits, and features. Current plan details and pricing are available on our Pricing page. We reserve the right to modify plan features and pricing at any time, with reasonable notice to existing subscribers.

4.2 Credit System

Certain actions within the Service (such as prompt generation and refinement) consume credits. Credits are included with subscription plans and may also be purchased separately as credit packs. Credits are non-refundable, non-transferable, and have no cash value. Unused credits included with a subscription plan do not roll over between billing periods unless otherwise stated. Purchased credit packs do not expire.

4.3 Payment

All payments are processed through Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method. Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). You are responsible for all applicable taxes. Failure to pay may result in suspension or termination of your access to the Service.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to your subscription features through the end of the current billing period. We do not provide prorated refunds for partial billing periods. Credit pack purchases are non-refundable.

5. Intellectual Property and Ownership

5.1 Your Content

You retain ownership of all content you submit to the Service, including brand profiles, shot descriptions, brand guidelines, and any other materials you upload or provide ("Your Content"). By submitting Your Content, you grant Psynthetic a limited, non-exclusive, worldwide license to use, process, and store Your Content solely as necessary to provide and improve the Service for your account. We will not use Your Content to train general-purpose AI models or share it with other users.

5.2 Generated Prompts

Prompts generated by the Service based on your inputs are provided for your use. As between you and Psynthetic, you may use generated prompts for any lawful commercial or personal purpose, including use with third-party AI generation platforms. Psynthetic does not claim ownership of prompts generated from your inputs. However, the underlying prompt generation methodology, algorithms, platform-specific optimization techniques, and system architecture remain the intellectual property of Psynthetic.

5.3 Service IP

The Service, including its software, design, text, graphics, interfaces, code, algorithms, prompt generation methodology, and brand intelligence architecture, is owned by Psynthetic and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use the Service as described herein.

6. Brand Data Isolation

Psynthetic implements database-level brand isolation using row-level security policies. Each brand profile is stored in an isolated container, and data associated with one brand is not accessible to or commingled with another brand's data. We maintain this isolation as a core architectural commitment of the Service. However, brand isolation does not constitute a guarantee against all possible security breaches, and we encourage users to follow their own organization's data security practices in conjunction with the protections provided by the Service.

7. Acceptable Use

You agree not to use the Service to:

• Generate prompts intended to produce content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Generate prompts intended to produce content that infringes on the intellectual property rights of any third party
• Generate prompts intended to produce content depicting child sexual abuse or exploitation
• Attempt to circumvent, disable, or interfere with the security features of the Service, including brand isolation mechanisms
• Use automated means (bots, scrapers, etc.) to access the Service without our prior written consent
• Resell, sublicense, or redistribute access to the Service or generated prompts as a competing prompt generation service
• Reverse-engineer, decompile, or attempt to extract the source code or underlying algorithms of the Service
• Provide false or misleading information in your account registration or brand profiles for the purpose of misrepresentation or fraud

We reserve the right to suspend or terminate your access to the Service if we determine, in our sole discretion, that you have violated this section.

8. Third-Party Services and Platforms

The Service is designed to generate prompts for use with third-party AI generation platforms. Your use of such platforms is governed by their respective terms of service and is not within our control. We do not guarantee that prompts generated by the Service will produce any particular result on any third-party platform. Changes to third-party platforms' capabilities, terms, or APIs may affect the quality or compatibility of prompts generated by the Service. We are not responsible for any content generated by third-party platforms using prompts created through the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, PSYNTHETIC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT GENERATED PROMPTS WILL PRODUCE ANY PARTICULAR RESULT ON ANY THIRD-PARTY PLATFORM; THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; OR THAT ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PSYNTHETIC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF PSYNTHETIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO PSYNTHETIC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Psynthetic and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service; your violation of these Terms; your violation of any third-party rights; or any content you submit through the Service.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Sections 5 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Governing Law) shall survive any termination of these Terms. Upon termination, we will delete your account data in accordance with our Privacy Policy, unless we are required to retain certain information for legal purposes.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and notify you via email or in-app notification. Your continued use of the Service after any modification constitutes acceptance of the updated Terms. If you do not agree with the modified Terms, your sole remedy is to discontinue use of the Service.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wyoming. You consent to the personal jurisdiction and venue of such courts and waive any objections based on inconvenient forum.

15. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Psynthetic with respect to the Service. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
